2. Eligibility

You must:

• Be at least 18 years old
• Have the legal capacity to enter into a binding agreement
• Use the Services only in the United States

By using Gala, you represent and warrant that you meet these requirements.

3. The Gala Platform

Gala is a technology platform that connects:

• Clients seeking bartending services, music, food vendors and entertainers
• Independent service providers ("Talents") offering bartending services, music, food and entertainment

Gala does not provide bartending services, food, music or entertainment and is not an employer of Talents. Talents operate as independent contractors, not employees, agents, or partners of Gala.

4. User Accounts & Authentication

Account Creation

• Accounts are created exclusively through Google Sign-In or Apple Sign-In
• Gala does not store passwords

You agree to:

• Provide accurate information
• Maintain the confidentiality of your account
• Notify Gala immediately of unauthorized use

You are responsible for all activity under your account.

5. Background Checks & Verification

Talents may be subject to identity verification and background checks through third-party services connected to authentication providers.

Gala:

• Does not guarantee the accuracy or completeness of background checks
• Makes no representations regarding the suitability of any Talent

Clients are responsible for exercising their own judgment when hiring service providers.

6. Bookings & Services

Client Responsibilities

• Provide accurate booking details
• Ensure a safe and lawful service environment
• Comply with all applicable local, state, and federal laws (including alcohol service laws)

Talent Responsibilities

• Perform services professionally and lawfully
• Maintain any required licenses or permits
• Comply with all applicable food and alcohol service regulations

Gala is not responsible for the conduct, performance, or outcomes of services.

7. Payments, Fees & Payouts

Payments

• All payments are processed through Stripe
• Gala does not store payment credentials

Fees

• Gala may charge service fees, booking fees, or platform fees
• Fees will be disclosed before confirmation

Payouts

• Talent payouts are processed via Stripe
• Timing of payouts may vary based on bank regulations

Payments are collected from clients at booking and released to Talent after booking. All payments are final unless otherwise required by law or explicitly stated in-app.

8. Cancellations, Refunds & Disputes

Cancellation and refund policies are defined within the app and may vary by booking.

Gala may, at its discretion:

• Facilitate dispute resolution
• Issue refunds or credits

Gala is not obligated to mediate or resolve disputes between users.

9. Communications

By using Gala, you consent to receive:

• In-app messages
• Push notifications
• SMS messages related to bookings, account activity, and service updates

You may opt out of non-essential communications where available.

10. Prohibited Conduct

You agree not to:

• Violate any laws or regulations
• Misrepresent your identity or credentials
• Harass, abuse, or harm others
• Circumvent payments outside the platform
• Use Gala for unlawful or unsafe activities
• Interfere with platform security or operations

Gala may suspend or terminate accounts for violations.

11. Account Suspension & Termination

Gala may:

• Suspend or terminate accounts at any time for violations
• Remove content or listings at its discretion

Users may delete their accounts at any time. Certain records (e.g., transactions) may be retained as required by law.

12. Intellectual Property

All content, branding, trademarks, and software associated with Gala are owned by or licensed to Gala LLC. You may not copy, modify, distribute, or exploit Gala's intellectual property without written permission.

13. Disclaimer of Warranties

The Services are provided "AS IS" and "AS AVAILABLE." Gala disclaims all warranties, including:

• Merchantability
• Fitness for a particular purpose
• Accuracy or reliability of services or users

Use of the platform is at your own risk.

14. Alcohol Service & Liability Disclaimer

Gala is a technology platform that facilitates connections between clients and independent service providers ("Talents"). Gala does not provide alcohol, bartending services, event staffing, or alcohol service supervision.

No Alcohol Provision

Gala does not sell, furnish, serve, or supply alcohol. All alcohol served at events is provided by the client or venue and remains the sole responsibility of the client and/or Talent.

14.1 Independent Responsibility of Talents

Talents are independent contractors and are solely responsible for:

• Complying with all applicable local, state, and federal alcohol laws
• Maintaining any required permits, licenses, or certifications
• Refusing service to intoxicated or underage individuals
• Ensuring responsible alcohol service practices

Gala does not supervise, direct, or control how alcohol services are performed.

14.2 Client Responsibilities

Clients are solely responsible for:

• Ensuring alcohol service at their event complies with applicable laws
• Confirming venue permissions and insurance requirements
• Providing a safe and lawful environment for alcohol consumption

14.3 No Dram Shop or Vicarious Liability

To the maximum extent permitted by law:

• Gala disclaims any liability under dram shop, social host, or similar laws
• Gala is not responsible for acts or omissions related to food and/or alcohol service
• Gala is not liable for injury, damage, or loss arising from food/alcohol consumption or service

14.4 Assumption of Risk

By using the Services, clients and Talents acknowledge that alcohol service carries inherent risks, including personal injury, property damage, and legal consequences, and agree to assume all such risks.

14.5 Indemnification

You agree to indemnify and hold harmless Gala LLC from any claims, damages, losses, liabilities, or expenses arising out of or related to:

• Food/Alcohol service at any event
• Violation of alcohol and food-related laws or regulations
• Acts or omissions of clients, guests, or Talents

15. Limitation of Liability

To the maximum extent permitted by law, Gala LLC shall not be liable for:

• Personal injury
• Property damage
• Lost profits
• Indirect, incidental, or consequential damages

Gala's total liability shall not exceed the amount paid to Gala by the user in the 12 months preceding the claim.

16. Indemnification

You agree to indemnify and hold harmless Gala LLC from any claims, damages, losses, or expenses arising from:

• Your use of the Services
• Your violation of these Terms
• Your interactions with other users

17. Governing Law & Venue

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts located in Los Angeles County, California.

18. Changes to These Terms

Gala may update these Terms at any time. Continued use of the Services constitutes acceptance of the updated Terms.
